Software License Agreement (EULA)

Overview

This End User License Agreement ("EULA") governs your right to access and use the Swivel website and mobile experience (the "Software") provided by SWIVEL LIVE LLC, a Florida limited liability company ("Swivel," "we," "us"). It covers your license to use the Software itself — for the rules governing bookings, payments, and your conduct as a User, see the Terms of Service, which this EULA is incorporated into and should be read alongside.

1. License grant

Subject to your compliance with this EULA and the Terms of Service, Swivel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software on your personal devices, solely for your own use as a DJ, Booker, or Venue on the Platform.

This license does not sell you the Software. Swivel and its licensors retain all right, title, and interest in the Software, including all intellectual property rights in its code, design, branding, and underlying technology.

2. Restrictions

You may not:

  • Copy, modify, decompile, reverse-engineer, or create derivative works of the Software, except to the extent applicable law prohibits this restriction;
  • Rent, lease, sell, sublicense, or otherwise transfer your access to the Software to anyone else;
  • Use automated tools (bots, scrapers, crawlers) to access the Software outside of normal human use;
  • Remove, obscure, or alter any proprietary notices on the Software;
  • Use the Software to build a competing product, or extract Swivel's underlying data (DJ listings, pricing, leaderboard data) for a purpose other than your own use of the Platform;
  • Circumvent any access, rate-limiting, or security control built into the Software.

Violating this section is also a violation of the Terms of Service and may result in suspension or termination under that document's Section 14.

3. Ownership

The Software — including its source code, visual design, the Swivel name and logo, and the leaderboard/ranking algorithm — is owned by Swivel and protected by U.S. and international intellectual property law. This EULA grants you a license to use the Software; it does not transfer any ownership of it. Content you upload (DJ mixes, photos, bios) remains governed by the Content license terms in the Terms of Service, Section 5 — this EULA does not change that.

4. Updates

Swivel may update, modify, or change features of the Software at any time. Continued use of the Software after an update means you accept the Software in its updated form. Swivel is not obligated to maintain backward compatibility with any previous version.

5. Third-party components

The Software relies on third-party services (payment processing via Stripe, infrastructure via Supabase and Vercel, email delivery via Resend) described in the Privacy Policy. Your use of the Software is also subject to the applicable terms of those providers where you interact with them directly (e.g., Stripe's own terms when completing a payment).

6. Term & termination

This license is effective until terminated. It terminates automatically if you violate this EULA or the Terms of Service, or if your account is suspended or deleted under the Terms of Service. Upon termination, you must stop using the Software; Sections 2, 3, and 7 survive termination.

7. Disclaimer & limitation of liability

The Software is licensed "as is." Swivel's disclaimers and limitation of liability regarding the Software are the same as those set out in the Terms of Service, Sections 11 and 12, which apply equally to this EULA.

8. Governing law

This EULA is governed by the laws of the State of Florida, and disputes arising from it are subject to the same dispute resolution and arbitration terms as the Terms of Service, Section 15.
